User/Researcher (the "Researcher") has requested permission to use the ULoc Processing Code, Firmware Binary and Hardware Design Files (the "Code and Design Files") at the University of California San Diego. In exchange for such permission, Researcher hereby agrees to the following terms and conditions:
1. Researcher shall use the Code and Design Files only for non-commercial research and educational purposes. Those desiring to use this Database and/or Data for commercial purposes should contact the Office of Innovation & Commercialization, University of California, San Diego, 9500 Gilman Drive, Mail Code 0910, La Jolla, CA 92093-0910, Ph: (858) 534-5815, E-MAIL: [email protected].
2. The Regents of The University of California, a California corporation having its statewide administrative offices at 1111 Franklin Street, Oakland, California 94607-5200 ("Licensor"), represented by its San Diego campus having an address at University of California, San Diego, Office of Innovation & Commercialization, Mail-code 0910, 9500 Gilman Drive, La Jolla, California 92093-0910 ("UCSD") make no representations or warranties regarding the Code and Design Files.
3. Researcher accepts full responsibility for his or her use of the Code and Design Files and shall defend and indemnify the Licensor and UCSD, including their employees, Trustees, officers and agents, against any and all claims arising from Researcher's use of the Database, including but not limited to Researcher's use of any copies of copyrighted images that he or she may create from the Database.
4. Researcher may provide research associates and colleagues with access to the Code and Design Files provided that they first agree to be bound by these terms and conditions.
5. The Licensor and UCSD reserve the right to terminate Researcher's access to the Code and Design Files at any time.
6. If Researcher is employed by a for-profit, commercial entity, Researcher's employer shall also be bound by these terms and conditions, and Researcher hereby represents that he or she is fully authorized to enter into this agreement on behalf of such employer.
7. The law of the State of California shall apply to all disputes under this agreement.
8. THE CODE AND DESIGN FILES ARE PROVIDED HEREIN ON AN "AS IS" BASIS, AND THE UNIVERSITY OF CALIFORNIA HAS NO OBLIGATION TO PROVIDE MAINTENANCE, SUPPORT, UPDATES, ENHANCEMENTS, OR MODIFICATIONS. THE UNIVERSITY OF CALIFORNIA MAKES NO REPRESENTATIONS AND EXTENDS NO WARRANTIES OF ANY KIND, EITHER IMPLIED OR EXPRESS, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THAT THE USE OF THE Code and Design Files WILL NOT INFRINGE ANY PATENT, TRADEMARK OR OTHER RIGHTS.
