| 4 | +Thank you for your interest in the OpenLayers project, which is |
| 5 | +presently maintained by the OSGeo Foundation (the "Maintainer"). In order |
| 6 | +to clarify the intellectual property license granted with |
| 7 | +Contributions from any person or entity, the Maintainer must have a |
| 8 | +Contributor License Agreement (CLA) on file that has been signed by |
| 9 | +each Contributor, indicating agreement to the license terms |
| 10 | +below. This license is for your protection as a Contributor as well as |
| 11 | +the protection of the Maintainer and its users; it does not change |
| 12 | +your rights to use your own Contributions for any other purpose. |

| 14 | +This version of the Agreement allows an entity (the "Corporation") to |
| 15 | +submit Contributions to the Maintainer, to authorize Contributions |
| 16 | +submitted by its designated employees to the Maintainer, and to grant |
| 17 | +copyright and patent licenses thereto. |

| 44 | +You accept and agree to the following terms and conditions for Your |
| 45 | +present and future Contributions submitted to the Maintainer. In |
| 46 | +return, the Maintainer shall not use Your Contributions in a way that |
| 47 | +is contrary to the public benefit. Except for the license granted |
| 48 | +herein to the Maintainer and recipients of software distributed by |
| 49 | +the Maintainer, You reserve all right, title, and interest in and to |
| 50 | +Your Contributions. |

| 52 | +1. Definitions. |

| 54 | + "You" (or "Your") shall mean the copyright owner or legal entity |
| 55 | + authorized by the copyright owner that is making this Agreement |
| 56 | + with the Maintainer. For legal entities, the entity making a |
| 57 | + Contribution and all other entities that control, are controlled |
| 58 | + by, or are under common control with that entity are considered to |
| 59 | + be a single Contributor. For the purposes of this definition, |
| 60 | + "control" means (i) the power, direct or indirect, to cause the |
| 61 | + direction or management of such entity, whether by contract or |
| 62 | + otherwise, or (ii) ownership of fifty percent (50%) or more of the |
| 63 | + outstanding shares, or (iii) beneficial ownership of such entity. |

| 65 | + "Contribution" shall mean any original work of authorship, |
| 66 | + including any modifications or additions to an existing work, that |
| 67 | + is intentionally submitted by You to the Maintainer for inclusion |
| 68 | + in, or documentation of, any of the products owned or managed by |
| 69 | + the Maintainer (the "Work"). For the purposes of this definition, |
| 70 | + "submitted" means any form of electronic, verbal, or written |
| 71 | + communication sent to the Maintainer or its representatives, |
| 72 | + including but not limited to communication on electronic mailing |
| 73 | + lists, source code control systems, and issue tracking systems that |
| 74 | + are managed by, or on behalf of, the Maintainer for the purpose of |
| 75 | + discussing and improving the Work, but excluding communication that |
| 76 | + is conspicuously marked or otherwise designated in writing by You |
| 77 | + as "Not a Contribution." |

| 79 | +2. Grant of Copyright License. Subject to the terms and conditions of |
| 80 | + this Agreement, You hereby grant to the Maintainer and to |
| 81 | + recipients of software distributed by the Maintainer a perpetual, |
| 82 | + worldwide, non-exclusive, no-charge, royalty-free, irrevocable |
| 83 | + copyright license to reproduce, prepare derivative works of, |
| 84 | + publicly display, publicly perform, sublicense, and distribute Your |
| 85 | + Contributions and such derivative works. |

| 87 | +3. Grant of Patent License. Subject to the terms and conditions of |
| 88 | + this Agreement, You hereby grant to the Maintainer and to |
| 89 | + recipients of software distributed by the Maintainer a perpetual, |
| 90 | + worldwide, non-exclusive, no-charge, royalty-free, irrevocable |
| 91 | + (except as stated in this section) patent license to make, have |
| 92 | + made, use, offer to sell, sell, import, and otherwise transfer the |
| 93 | + Work, where such license applies only to those patent claims |
| 94 | + licensable by You that are necessarily infringed by Your |
| 95 | + Contribution(s) alone or by combination of Your Contribution(s) |
| 96 | + with the Work to which such Contribution(s) was submitted. If any |
| 97 | + entity institutes patent litigation against You or any other entity |
| 98 | + (including a cross-claim or counterclaim in a lawsuit) alleging |
| 99 | + that your Contribution, or the Work to which you have contributed, |
| 100 | + constitutes direct or contributory patent infringement, then any |
| 101 | + patent licenses granted to that entity under this Agreement for |
| 102 | + that Contribution or Work shall terminate as of the date such |
| 103 | + litigation is filed. |

| 105 | +4. You represent that You are legally entitled to grant the above |
| 106 | + license. You represent further that each employee of the |
| 107 | + Corporation designated on Schedule A below (or in a subsequent |
| 108 | + written modification to that Schedule) is authorized to submit |
| 109 | + Contributions on behalf of the Corporation. |

| 111 | +5. You represent that each of Your Contributions is Your original |
| 112 | + creation (see section 7 for submissions on behalf of others). You |
| 113 | + represent that Your Contribution submissions include complete |
| 114 | + details of any third-party license or other restriction (including, |
| 115 | + but not limited to, related patents and trademarks) of which you |
| 116 | + are personally aware and which are associated with any part of Your |
| 117 | + Contributions. |

| 119 | +6. You are not expected to provide support for Your Contributions, |
| 120 | + except to the extent You desire to provide support. You may provide |
| 121 | + support for free, for a fee, or not at all. Unless required by |
| 122 | + applicable law or agreed to in writing, You provide Your |
| 123 | + Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS |
| 124 | + OF ANY KIND, either express or implied, including, without |
| 125 | + limitation, any warranties or conditions of TITLE, |
| 126 | + NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR |

| 129 | + 7. Should You wish to submit work that is not Your original creation, |
| 130 | + You may submit it to the Foundation separately from any |
| 131 | + Contribution, identifying the complete details of its source and |
| 132 | + of any license or other restriction (including, but not limited |
| 133 | + to, related patents, trademarks, and license agreements) of which |
| 134 | + you are personally aware, and conspicuously marking the work as |
| 135 | + "Submitted on behalf of a third-party: [named here]". |

| 137 | + 8. It is your responsibility to notify the Maintainer when any change |
| 138 | + is required to the list of designated employees authorized to |
| 139 | + submit Contributions on behalf of the Corporation, or to the |
| 140 | + Corporation's Point of Contact with the Maintainer. |
