Limited Use License Agreement

This Limited Use License Agreement ("Agreement") is a legal agreement between you, the end-user, and Mental ("Licensor"). By accessing the software material, which includes source code (the "Software"), hosted at https://github.com/mental32/exchange-orderbook, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not access or use the Software.

License

  1. Grant of License:

    • The Licensor grants you a non-exclusive, non-transferable, limited right to access and use the Software for educational purposes only. This right includes viewing, studying, and manually copying code snippets for personal educational use on your own projects in a non-commercial setting. Electronic reproduction or reintegration of the code into other software for any purpose is not permitted without prior written consent.

  2. Restrictions:

    • You may not use, copy, modify, merge, publish, distribute, sublicense, or sell copies of the Software.
    • You may not use the Software, or any portion thereof, for commercial purposes. Prohibited commercial use includes, but is not limited to, training programs, competitive analysis, commercial exploitation, or integration into any commercial offerings. Educational activities that inadvertently have commercial aspects, such as educational workshops where a fee covers basic costs, are not considered commercial use under this license. Any derivation of software that employs concepts learned from the Software must not include direct copies or substantial portions of the Software for any commercial endeavor.

  3. Ownership:

    • The Software and all intellectual property rights therein, are and will remain the exclusive property of the Licensor. If the Software accepts contributions, the terms regarding the ownership of those contributions will be described in a separate document.

  4. Disclaimer of Warranty:

    • The Software is provided "AS IS," without warranty of any kind, express or implied. The Licensor disclaims all warranties, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in this Agreement shall affect any statutory rights that cannot be waived or limited by contract.

  5. Limitation of Liability:

    • To the maximum extent permitted by law, the Licensor shall not be liable for any damages whatsoever, whether direct, indirect, incidental, special, or consequential, arising from the use of or inability to use the Software. This limitation will not apply to any liability that cannot be excluded or limited under applicable law.

  6. General:

    • This Agreement is governed by the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Specify the applicable jurisdiction to ensure clarity and enforceability.

Commons Clause Restriction

The Software is subject to the Commons Clause License Restriction; the restrictions under the Commons Clause are as follows:

  • You may not sell, lease, or charge for any service that includes the Software, directly or indirectly. "Selling" includes practices such as charging for access to the Software’s functionality or advertising supported on the back of the Software.

This Agreement constitutes the entire agreement between you and the Licensor regarding your use of the Software and supersedes all prior and contemporaneous written or oral agreements between you and the Licensor.

By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you have no right to access or use the Software.
