Theme can recommend plugins and include them from official sources such as WordPress Plugin Directory, however they should not bundle them.

But what if the theme recommends plugins which can't be found on the web?
For example, tf-faq is a plugin which is no longer maintained, therefore we've changed it a little to meet our needs (It's not ideal, I know, but that's what's done on the site this theme is intended for). If the theme recommends it without including it, then how do we use the version that is customized for our site?
And what about plugins that I'll write, based on the issues titled Plugin territory? I wasn't planning on putting them on the web (not that I mind sharing them, but where on the web would I put them?).

Any plugin that is no longer maintained you can modify, make up to date and upload back to WordPress under your name, you can do the same with custom-made plugins too.

Note that this is a best practice, but still your decision :)
